What you'll see

Real findings from a freelance MSA review

🔴 DANGEROUS Section 7.2

"Contractor agrees that all work product... shall be the exclusive property of Client, including concepts, ideas, and methodologies developed during engagement."

What this means: They own not just deliverables, but your thinking process and reusable methods.

Why it helps them: Prevents you from using your own expertise for future clients.

Market standard: Work-for-hire covers deliverables only; background IP stays with contractor.

💡 Negotiation script: "Section 7.2 currently captures background IP and methodologies. I propose limiting 'work product' to final deliverables only, with a carve-out for my pre-existing tools and general knowledge."
🟡 CONCERNING Section 12.1

"Either party may terminate this agreement for any reason with 30 days written notice."

What this means: Client can fire you anytime. You can quit anytime. But you lose income; they just lose a vendor.

Why it helps them: Zero risk for them; all instability for you.

Market standard: Mutual termination with kill fee (2-4 weeks pay) or cause-only termination.

💡 Negotiation script: "For mutual protection, I'd like to add a 2-week kill fee if terminated without cause, or change to termination for cause only with 30-day cure period."
🟢 STANDARD Section 5

"Contractor shall perform services in a professional and workmanlike manner consistent with industry standards."

What this means: Standard quality obligation. Reasonable and mutual.

Market standard: Universal in professional services agreements.

✅ No action needed — this clause is fair and standard.

Common questions

Is this legal advice?
No. ContractRedFlag provides AI-powered contract analysis to help you understand risks. It doesn't replace a licensed attorney. For high-stakes deals, use our output to have a more productive (and cheaper) conversation with a lawyer.
What contracts work best?
Freelance MSAs, residential leases, employment agreements, NDAs, vendor contracts, and Terms of Service. The more standard the contract type, the better the analysis. Highly bespoke agreements still work but may have more "Other" findings.
How accurate is the AI?
We use Llama 3.1 70B with a specialized adversarial prompt tuned per contract type. It catches ~85-90% of material one-sided clauses in testing. It can miss novel edge cases or misinterpret heavily ambiguous language. Always verify critical findings.
Is my contract private?
Yes. Files are encrypted in transit and at rest (R2). We don't train on your data. Reviews auto-delete after 30 days (or instantly if you delete). Share links expire in 7 days. You control your data.
Can I use this for my clients?
Absolutely. Many freelancers and agencies use it to pre-screen client contracts before sending to their lawyer. The shareable link lets you send a clean, branded report to your attorney or business partner.
